Technical due diligence for commercial property acquisitions, investors and funders
Technical due diligence goes beyond a standard condition survey to assess the broader technical risks associated with a property acquisition or investment. We evaluate building condition, compliance, environmental factors, planned maintenance liability and capital expenditure requirements to inform your investment decision.
Pre-acquisition survey terminology: for commercial property, a pre-acquisition survey is scoped as technical due diligence when the decision needs a transaction-focused view of condition, compliance evidence, maintenance liability and foreseeable capital expenditure.
Our reports are structured to support commercial decision-making, providing clear risk assessments and budget projections that feed directly into financial models. We work with investors, developers, funds and occupiers across all commercial and residential property sectors in London, and we are clear about where valuation or legal advice sits outside our role.
London transactions put technical due diligence under real time pressure, and the risks that move a deal are rarely cosmetic. On commercial and mixed-use acquisitions we focus on the issues that carry the largest capital exposure: external wall and cladding fire risk and the EWS1 or FRAEW position on residential and mixed-use blocks, Building Safety Act duties on higher-risk buildings, roof and facade condition, mechanical and electrical plant nearing the end of its life, and outstanding statutory or dilapidations liabilities.
London's mix of period, post-war and modern stock means as-built records are often incomplete, so we distinguish clearly between what the inspection and documents confirm and what carries residual risk. Our reports are structured around a priced, prioritised schedule of immediate, short-term and lifecycle costs that plugs straight into an acquisition model, together with a red-flag summary for the deal team.
Where a defect needs specialist confirmation before exchange, we say so and scope the further investigation rather than leaving the buyer to discover it later.

Technical due diligence is a technical advisory service to inform a transaction decision. It is based on a visual inspection and the information made available within the agreed scope and timetable; it is not an exhaustive investigation, a warranty of the building, a valuation or legal advice.
Where the review identifies the need for intrusive investigation, or structural, fire, environmental, mechanical and electrical or legal input, we identify that clearly rather than implying it is covered, and we report the limitations and assumptions transparently so the client can rely on the report appropriately.
A representative technical due diligence instruction
The following London inspection and reporting workflow breakdown shows how our RICS surveyors scope, inspect and report on real properties across London; see our published London surveying case studies for completed project records.
- Typical client: an investor, developer or fund acquiring a London asset
- Typical building: a commercial, residential or mixed-use building or portfolio
- Typical issue: a transaction decision needing an independent view of building risk and capex
- Typical instruction: technical due diligence within the transaction timetable
- What the client typically receives: a red-flag summary, a risk-rated technical report and a capital expenditure view
- How it is typically used: to inform the bid, the negotiation, the funding and the post-acquisition plan
- Related services: Building Condition Surveys, Development Monitoring, Reinstatement Cost Assessments
What affects the fee?
Technical due diligence is scoped to the asset and the deal, so the fee reflects the property and the deadline rather than a fixed rate. The main factors are:
- The size and type of the asset, or portfolio
- The acquisition timescale and reporting deadline
- The volume of documents in the data room to review
- Site access and the number of inspections required
- Whether specialist reports (for example mechanical and electrical, structural or environmental) are needed
- The depth of the risk register and capital expenditure analysis
- The reporting format required by the investor, lender or fund
We confirm a written scope and fee before you instruct, so the cost is clear before any commitment.

Send building detailsWhat technical due diligence covers on an acquisition
Technical due diligence gives a buyer, funder or incoming tenant a clear, decision-ready picture of a building’s condition and the money it will demand over the hold period. The core output is a red-flag report with a traffic-light rating: the issues that could affect price or the decision to proceed are separated from routine maintenance, so the deal team can see the material risks at a glance and price or negotiate them.
Behind the ratings sits a capital expenditure forecast — a costed, time-phased view of major replacements (roofs, plant, lifts, facades) across the planned ownership, which feeds directly into the investment model and the service-charge budget. Alongside condition, the diligence covers the statutory position that increasingly drives value: the EPC rating and the Minimum Energy Efficiency Standard, the Building Safety Act status for higher-risk buildings, asbestos and fire documentation, deleterious materials, and, on a tenanted asset, the dilapidations position and any outstanding statutory notices.
For an acquisition the report is normally addressed with a defined duty of care, and that reliance can be assigned to a funder or extended to other parties in the transaction — a point worth settling early, because it shapes the scope and the fee. We tailor the depth to the deal: a concise red-flag review for a fast-moving bid, or a fuller technical due diligence scope with separately agreed intrusive investigation where the asset or the price justifies it. The aim throughout is the same — no surprises after completion.
Primary guidance we work to
The RICS standard and statutory framework behind technical due diligence on London acquisitions.
- RICS Technical due diligence of commercial property — the standard for commercial acquisition and pre-purchase inspections
- RICS Rules of Conduct — the professional obligations every RICS member and regulated firm works under
- Building Safety Act 2022 — building-safety duties that can affect mixed-use and higher-risk commercial stock
- Energy Efficiency (Private Rented Property) Regulations 2015 — MEES duties that often sit alongside commercial condition advice
Common questions about technical due diligence
What is technical due diligence?
Technical due diligence, often shortened to TDD, is a structured technical review of a property carried out to inform an acquisition, investment or funding decision. It goes beyond a condition survey to consider building condition, compliance, services, environmental factors, capital expenditure exposure and the matters most likely to affect value, risk and negotiation.
How is technical due diligence different from a condition survey?
A condition survey is mainly focused on the present state of the building and repair liability. Technical due diligence is broader and transaction-focused, considering condition, compliance, capital exposure and the issues that may affect acquisition, funding or negotiation. TDD is written to feed a financial model and a deal decision, not just a repair plan.
Can the instruction be tailored to a short transaction timetable?
Yes. Many appointments start with an early red-flag review that identifies the most material risks quickly within the transaction timetable, followed by more detailed reporting where the deal proceeds. We agree the scope and the reporting format to suit the timetable at the outset.
Does the report include capital expenditure commentary?
Yes. Where it is relevant to the agreed scope, the report comments on likely capital expenditure exposure and maintenance liabilities, so you have a clearer picture of post-acquisition commitments and can reflect them in your model and negotiation.
Do you carry out TDD for both purchasers and funders?
Yes. We act for purchasers, investors, developers, funds and occupiers, and we can prepare reports for funders where lending depends on an independent technical view. The emphasis of the report is tailored to who is relying on it and the decision being made.
Can you identify where further specialist input is needed?
Yes. Where the review identifies issues needing more detailed structural, fire, facade, mechanical and electrical, environmental or legal follow-up, the report sets out those next steps clearly so the client can scope and price them rather than being left with an open question.
Do you review compliance and statutory matters?
Yes. Within the agreed scope we review available compliance and statutory information, such as fire safety, asbestos, electrical and mechanical, and building and planning documentation, and we flag gaps and where specialist or legal confirmation is required. We do not give legal advice and we identify where it is needed.
Can you act on portfolio and multi-asset acquisitions?
Yes. We carry out multi-asset and portfolio technical reviews for institutional investors and portfolio managers, with consistent reporting across the assets so the client can compare and prioritise risk and capital exposure across the portfolio.
Do you provide a Red Book valuation as part of TDD?
No. Technical due diligence is a technical and risk review, not a valuation. Where a Red Book valuation is required, that is a separate instruction carried out by an appropriately qualified valuer. We are clear about the boundary and identify where a valuation or other specialist input is needed.
How quickly can you turn around a TDD report?
Timing depends on the size and complexity of the asset and the information available, but TDD is usually driven by the transaction timetable. We agree a realistic programme at the outset and can prioritise an early red-flag review where a deal is moving quickly.
