What to organise if your contract administrator resigns mid-project

Prepare a replacement CA appointment, protect the document record and identify live decisions. Check the contract before assuming how resignation affects the works.

A departing contract administrator creates an immediate need for a clear handover, but the legal consequences cannot be decided from the word resignation alone. Read the professional appointment and the building contract together. Establish what has been notified, when services are intended to end and who can make the next contractual decisions. This guide provides a practical document and briefing sequence. It does not determine whether a resignation is valid, give a universal replacement deadline or promise that a new consultant will accept the instruction.

Establish exactly what is changing

Confirm whether an individual is leaving an organisation, the appointed consultancy is ending its services, or services are being suspended. Ask for the position in writing, including the effective date and the scope affected. A staffing change and the end of a consultancy appointment raise different questions; do not assume that one email explains the status of every role held by the person concerned.

Collect the notice, the consultancy terms, the executed building contract and relevant amendments. Identify the organisation named in each document and the person currently authorised to act. Ask the appropriate adviser to confirm which replacement or notice provisions apply. Keep disputed assertions distinguishable from agreed facts while that review takes place, including any disagreement about the date or reason services are ending.

Check the two agreements separately

RICS's explanatory notes for its standard appointment address termination, suspension, outstanding fees and document handover. They illustrate that these matters have defined terms and conditions; they do not establish the terms of an appointment made on another basis. The building contract must also be checked for the process governing its named administrator and any replacement.

Ask the legal adviser to identify what action the client must take and what should be communicated to the contractor. Do not assume that ending a consultancy appointment automatically terminates the contractor's contract, transfers authority to the client or pauses all payment obligations. If the departing adviser also held design, safety or another professional role, list that appointment separately and establish who is dealing with continuity for it.

Make a list of decisions that cannot be overlooked

Prepare a short forward diary from the actual contract and correspondence. Include upcoming payment steps, information requests, proposed instructions, inspection needs and any submitted delay or completion request. Record the source of each date and ask the responsible adviser to confirm it. Distinguish a contractual deadline from a preferred meeting date or an internal reminder.

For each item, identify who currently has authority, what information is available and what decision remains outstanding. If nobody has been confirmed to perform a necessary function, escalate that gap promptly. Do not solve it by backdating a certificate or assuming that any surveyor can sign on the former administrator's behalf. The payment-documents guide helps identify the separate records to gather for a live payment cycle.

Request a structured handover pack

Ask for an index of the project documents held, with current revisions and an explanation of any missing material. Start with the executed contract, specification, drawings, pricing documents and amendments. Add issued instructions, certificates, notices, programme submissions, meeting records and the correspondence supporting open decisions. Retain the versions actually issued, rather than accepting only a folder of editable drafts.

Identify the terms governing access to documents, permitted use and any conditions attached to release. RICS's standard-form notes make clear that handover provisions have qualifications, including distinctions concerning internal material. Obtain advice if access is disputed. Keep a record of what was requested, received and still missing; do not describe the handover as complete while gaps prevent a replacement from understanding the contract record.

Record the physical position without inventing an assessment

Assemble the latest site reports, dated photographs, contractor progress record and known outstanding-work list. Identify areas about to be concealed and any inspections already requested. Ask the project team to establish what evidence can still be obtained and who is authorised to arrange it. Keep the contractor's description of progress separate from a professional assessment that has not yet taken place.

Where additional observation is needed, agree a defined inspection scope and reporting route. Our Clerk of Works service explains the inspection role; it should not be treated as an automatic replacement for contractual decision-making authority. If an urgent safety issue is identified, refer it promptly to the appropriate responsible person. Do not leave it waiting in a routine administrative handover list.

Give the prospective replacement an honest brief

Send the contract pack, handover index, forward diary and a concise account of unresolved matters. State whether work is continuing, which appointments remain in place and what information is missing. Disclose known disputes and the decisions you are asking the new consultant to consider. Ask what initial document review and site assessment they need before they can decide whether to accept the role.

Define the proposed start date, future duties and the treatment of earlier records. Do not assume that accepting a new appointment means endorsing every previous certificate or taking responsibility for work done by the predecessor. Ask for the limitations and any separately commissioned retrospective review to be explicit. Keep the replacement quotation and agreed scope distinct from a complaint or claim concerning the former appointment.

Communicate the agreed authority and handover boundary

Once the replacement arrangements have been checked and agreed, confirm the required appointment and notification steps with the adviser. Establish the communication addresses and who receives applications, notices and technical information from the effective date. Tell the project team how open matters will be transferred. Retain proof of the communications required under the actual documents.

Create a handover schedule that distinguishes completed decisions, submissions awaiting assessment and information still being assembled. Give each open item an owner and next action. Avoid a blanket statement that everything before the handover is closed. A replacement should be able to locate the relevant evidence and understand the recorded status without relying on informal assurances from one participant in the project.

Resolve fees and complaints through their proper routes

Keep the account for the outgoing professional appointment separate from the contractor's payment account and the incoming consultant's fee. Record which services are said to have been performed and any disputed items. Ask the adviser to explain the applicable termination, payment and document-use provisions. Do not assume that withholding one payment is the correct response to an unrelated disagreement elsewhere in the project.

Use the firm's complaints procedure where appropriate, and obtain legal advice on a disputed termination or alleged loss. For a new instruction, read how to compare CA scope and fees and the HCS contract administration scope. HCS cannot act as independent contract administrator where HCS is the contractor. A replacement plan should state what is agreed, what remains uncertain and who will resolve each outstanding question.
